the owner of GrabGreen trademarks, logos and trade dress (“Marks”). “Website” means the website located at www.GrabGreenHome.com, any
subsequent URL which may replace it, and all associated websites, URLs and
micro sites. "You/your" means you as a user of the Website. “User”
means all users of this Website. We offer this Website, including all information
and services available from this Website, to you conditioned upon your
acceptance of all the terms, conditions, policies and notices stated herein. Your continued use of this WEBSite constitutes
your agreement to these Terms of Use.
You shall not use the Website for any
illegal purposes, and you will use it in compliance with all applicable laws
and regulations. You shall not use the Website in a way that may cause the
Website to be interrupted, damaged, rendered less efficient or such that the
effectiveness or functionality of the Website is in any way impaired. You agree

6. Orders, Price and
Resale
Nothing on the Website constitutes a binding offer to sell
products described on the Website or to make such products available in your
area. We reserve the right at any time after receipt of your order to accept or
decline your order, or any portion thereof, in our sole discretion, even after your
receipt of an order confirmation or after your credit card has been charged.
The prices displayed on the Website are quoted in U.S. dollars and must be paid
in U.S. dollars. In the event a
product is listed at an incorrect price, we have the right to refuse or cancel
orders placed for the product listed at the incorrect price, regardless of
whether the order has been confirmed or your credit card charged. If your
credit card has already been charged for the purchase and your order is
canceled, we will issue a credit to your credit card account.

You acknowledge that the particular technical specifications and
settings of your computer and its display could affect the accuracy of its

ethnically or otherwise objectionable; or that otherwise violates any law; (ii)
contains software viruses or any other computer codes, files or programs
designed to interrupt, destroy, or limit the functionality of any computer
software or hardware or telecommunications equipment; (iii) infringes any
person or entity's intellectual property rights (including but not limited to,
patent, trademark, trade secret, copyright or other intellectual property
right).
b. You
will not impersonate any person or entity or otherwise misrepresent your
affiliation with a person or entity.
c. You will
not repeatedly post the same or similar message ("flooding") or post
excessively large or inappropriate images or content.
d. You
will not distribute or publish unsolicited promotions, advertising or
solicitations for funds, goods or services, including but not limited to, junk
mail, spam and chain letters.
8.4 User Content becomes public information. You
should be very careful about posting personally identifiable information such
as your name, address, telephone number or email address. If you post personal
information online, you may receive unsolicited messages from other users in
return.
8.5 You are responsible for maintaining the
confidentiality of your account and password and for restricting access to your
computer. You agree to accept responsibility for all activities that occur
under your account or password, regardless of whether such use is authorized by
you or not.
8.6 If you
submit any User Content, you grant to us, and any of our successors, licensees,
assigns, and affiliates, a royalty-free, perpetual, irrevocable, non-exclusive
and fully sub-licensable right and license to use, reproduce, modify, edit,
adapt, publish, translate, create derivative works from, distribute, perform
and display the User Content, and in any other media, now known or hereafter
devised.
9. Sales, Shipping, and Returns
9.1 We
accept the following credit cards: Visa, MasterCard, and Discover. There
is no surcharge for using your credit card to make purchases. Please be sure to
provide your exact billing address and telephone number (i.e. the address and
phone number your credit card bank has on file for you). Incorrect information
will cause a delay in processing your order. Your credit card will be billed
upon shipment of your order.
9.2 We also accept money
orders, cashier’s checks, personal checks, and company checks in U.S. Dollars
only. Orders are processed upon receipt of a money order or cashier’s check.
For personal and company checks, please allow up to 10 banking days after
receipt for clearance of funds before your order is processed. We cannot
guarantee the availability of a product by the time funds clear or payment is
received. We will charge a $25 fee on all returned checks.
9.3 For a multiple product
order, we will make every attempt to ship all products contained in the order
at the same time. Products that are unavailable at the time of shipping will be
shipped as they become available, unless you inform us otherwise. You will only
be charged for products contained in a given shipment, plus any applicable
shipping charges. You will only be charged for shipping at the rate quoted to
you on your purchase receipt. The entirety of this shipping charge may be
applied to the first product(s) shipped on a multiple shipment order.
9.4 Your receipt of an
electronic or other form of order confirmation does not signify our acceptance
of your order, nor does it constitute confirmation of our offer to sell. We
reserve the right at any time after receipt of your order to accept or decline
your order for any reason or to supply less than the quantity you ordered of
any item.
9.5 We will ship your order as it becomes available. Usually,
products ship the same day if ordered by 5:00PM (Pacific Time), or by the next
business day if your order is received after this time and for orders received
on Saturday, Sunday or any major holiday. However, there may be times when a
product you have ordered is out-of-stock which will delay fulfilling your
order. We will keep you informed of any products that you have ordered that are
out-of-stock and unavailable for immediate shipment. You may cancel your order
at any time prior to shipping. We cannot guarantee when an order will arrive.
Consider any shipping or transit time offered to you by Sample Store or other
parties only as an estimate. We encourage you to order in a timely fashion to
avoid delays caused by shipping or product availability
9.6 We will gladly accept the return of products
that are defective due to defects in manufacturing and/or workmanship for
thirty (30) days from the date of purchase. Fulfillment mistakes that we make
resulting in the shipment of incorrect product to you will also be accepted for
return thirty (30) days from the date of purchase.
9.7 We shall automatically charge and withhold the
applicable sales tax for orders to be delivered to addresses within the same
state. For orders shipped to other states, you are solely responsible for all
sales taxes or other taxes
10. Grab Some Green
Member Program
When you place an order, you may opt to become a
member of the grabgreen® Grab Some Green Member Program. Purchase or use of any
membership in the grabgreen® Grab Some Green Member Program
("Membership") at any time subjects the purchaser or user
("you," "your," "yours," "Member") to
the provisions of the following conditions
10.1 Benefits. The grabgreen® Grab Some Green Member
Program entitles you to the following benefits:
(a) Everyday
discount of ten percent (10%) off of the regular list price on purchases made
at grabgreenhome.com; and
(b) Periodic special promotions.
10.2 Certain
Conditions.
(a) For
any Member's discount or other benefit to apply, the Membership account must be
active and available at the time of purchase. Members will NOT be reimbursed
retroactively for purchases made without a Member discount at the time of
purchase.
(b) Member's everyday discount is only valid on
eligible purchases online at www.grabgreenhome.com.
The Member's everyday discount is not available on the purchase of any of the
following items: Gift Cards; Online Gift Certificates; gift-wrapping fees;
shipping or handling fees; or Membership fees (new or renewal).
(c) Member discounts will be applied after all
other eligible discounts and deductions (e.g., non-Member discounts, coupons,
seasonal sale discounts, etc.) are applied, except where otherwise noted.
(d) Member's everyday discount cannot be used in
conjunction with any coupons or with any corporate or prearranged group
discounts, unless specifically stated. Such exclusion includes the following,
without limitation: educator discounts; employee or organizational discounts;
library discounts; government discounts; Student Advantage discounts; in-store
corporate discounts; in-store institutional discounts; and in-store or online
volume order discounts.
(e) Memberships are non-transferable. When used
online at www.grabgreenhome.com, a
Member number may only be associated with one www.grabgreenhome.com account.
(f) We expect Members to submit and maintain
accurate and current user information in connection with their Memberships.
Such information includes name, address, email address, and telephone number.
Members can change their account information by: (i)
updating Member profile data through an authenticated www.grabgreenhome.com account,
requesting an update from a customer care associate or (ii) calling us at
888.841.GRAB (4277)
10.3 Membership
Fee. The annual Membership fee is currently $25. We may change the Membership
fee at any time, but changes will apply only to new and renewal Memberships.
The fee is not refundable unless the Membership is canceled during the first
thirty (30) days of the Membership term (including any renewal term).
10.4 Term
and Billing. The initial term of a Membership shall commence on the date it is
purchased and continue until one year from the last day of the calendar month
in which the Membership was purchased. Each Membership will automatically renew
(therein referred to as a "Renewal Membership") each year for
additional one-year periods commencing on the day after the anniversary of the
last day of the calendar month in which the Membership was purchased (“Continuous
Membership") unless: (a) you elect a one-year Membership by opting out of
continuous Membership at enrollment; (b) you pay for your Membership with cash,
check, or debit card (debit card (requiring a PIN; (c) you notify us by
telephone at 888.841.GRAB (4277) of our decision to opt out of Continuous
Membership; or (d) your Membership is cancelled or we terminate your
Membership. Renewal Membership fees will be billed annually and automatically
to the credit card we currently have on file, in the amount of the then current
Membership fee on the first day of the month in which your current Membership
or Renewal Membership term expires. When you enroll at a Barnes & Noble
Store, the Renewal Membership fee will be billed to the credit card used to
enroll in the Grab Some Green Member Program, or the credit card we currently
have on file which you provided to us at either the time of enrollment or the
time of renewal. If you enroll online at www.grabgreenhome.com
and Continuous Membership is selected, the Renewal Membership fee will be
billed to the credit card that is active in your www.grabgreenhome.com account.
10.4 You have the right to cancel your Membership at any time. If you
cancel your Membership, you will only be entitled to a full refund of your
Membership fee if you cancel during the first thirty (30) days of your initial
or renewal Membership term. No refunds will be available after such thirty (30)
day period (unless we terminate the Grab Some Green Member Program; see Program
Termination section below). If you purchase your Membership online at www.grabgreenhome.com, you can cancel
your Membership by: (a) calling us at 888.841.GRAB (4277) or (b) contacting us
via email at membership@grabgreenhome.com.
10.5 We
may terminate your Membership, including any associated accounts, without
notice, for any reason in our sole discretion, including without limitation our
belief that continued use of such Membership would violate any provisions of
this Agreement, applicable law, or otherwise be harmful to our interests. In
the event of any such termination, you will be entitled to a pro rata refund of
your Membership fee.
10.6 We
may terminate any or all of the benefits available under the Grab Some Green
Member Program at any time with or without notice. In the event of our
termination of this program, at our election we will either maintain your
Membership benefits until expiration of the Membership current term or refund
each Member a pro rata portion of the Membership fee for the remaining portion
of the current Membership term.
10.7 As
a Member, the information we capture will be subject to the grabgreen® Privacy
Policy as amended from time to time in accordance with its terms. You may view
the current version of our Privacy Policy at any time online at www.grabgreenhome.com/membership
or you may obtain a copy of it by calling 888.841.GRAB (4277).
10.8 We may change the terms of the grabgreen® Grab Some Green Member
Program at any time by posting a revised Agreement on the Member Program
website located at www.grabgreenhome.com/membership.
We may also notify Members of such change in writing either by regular mail or
via email to the email address in the Member's account. Any change shall take
effect immediately, unless otherwise provided. You may view the current version
of this Agreement at any time online at www.grabgreenhome.com/membership
or you may obtain a copy of it by calling 888.841.GRAB (4277).
10.9 Your
new Membership will be added to your cart when click the
"Accept & Join Now" button at checkout.
11. Disclaimers
11.1 WE MAKE NO WARRANTIES, WHETHER EXPRESS OR
IMPLIED IN RELATION TO THE ACCURACY OF ANY INFORMATION ON THE WEBSITE. THE
WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS
WITHOUT ANY REPRESENTATION. WE MAKE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS

Socket Layers (SSL), the industry standard in transferring information to
process your orders. The SSL encrypts, or translates, your order information
into a highly indecipherable code, which is processed immediately. All credit
card transactions occur in a secure area of the Website, to protect you from
any loss, misuse or alteration of information collected. When you have finished
shopping and begin the checkout process, you will move into the secure area of the
Website. Once you have entered, the page address (URL) will change from “http”
to “https” to let you know you are in a secure area. Also, a key or a closed
lock will appear in the lower right hand corner of your screen to notify you of
this change. You will remain in this secure zone for the entire checkout
